Contract, Usage and License Terms.

These Contract, Usage and License Terms govern the purchase and use of GoldAutoTradePRO. The provider and contracting party is the operator of GoldAutoTradePRO identified in the Imprint.

1. Subject matter

GoldAutoTradePRO is a digitally supplied automated trading system for NinjaTrader 8 designed for rule-based use in the Micro Gold futures environment (MGC). The contract covers the time-limited right of use, access to the approved Customer Package and the product-related technical information and support described for the selected plan.

GoldAutoTradePRO does not provide brokerage, custody, investment advice or financial services. The user trades exclusively through their own NinjaTrader, broker and market-data environment, for their own account and at their own responsibility.

2. Contract formation and order information

Before an order is submitted, the checkout displays the selected term, payment schedule, instalment or one-time price, total contractual amount, key product characteristics and the relevant legal information. These details form part of the order.

A contract is concluded only after the order process has been properly completed and the order or payment has been confirmed by GoldAutoTradePRO or the relevant payment provider. An automated receipt message alone does not constitute a different performance commitment.

3. Terms and payment schedules

GoldAutoTradePRO may be offered with fixed terms of 3, 6 or 12 months. A separate free trial access may also be provided; it does not replace a paid contract. The prices and total amounts displayed immediately before the order is submitted are controlling.

The price agreed when a contract is purchased remains unchanged for that entire fixed term and all instalments belonging to that term. A renewal or further fixed term is a new contract and uses the current price displayed at checkout when that new contract is entered into. A price from an earlier contract is not automatically carried forward to later contract periods.

  • 3 months: fixed 3-month term, three monthly payments, automatic end without renewal.
  • 6 months: fixed six-month contractual term with six contractually agreed monthly payments.
  • 12 months: fixed twelve-month contractual term with twelve contractually agreed monthly payments.

Monthly billing for the 3-, 6- and 12-month plans is a payment schedule within a fixed contractual term. It is not a freely cancellable month-to-month subscription. No automatic contractual renewal occurs after the fixed term; a new purchase or express renewal is required for a further period.

An express renewal purchased before the current contract ends does not shorten the already-paid access period. The new access period starts immediately after the existing paid contract ends. If the renewal is paid only after the previous contract has ended, the new access period generally starts when the new payment is successfully confirmed; any gap without access is not retroactively consumed as paid contract time.

For an early renewal, the first payment for the new contract is due when that renewal is entered into. For 3-, 6- and 12-month contracts, the further monthly payment schedule follows the newly concluded payment plan, while the corresponding new access period begins only after the remaining paid access period has ended.

Payment failure on 3-, 6- and 12-month contracts: if a contractually due monthly instalment fails, no additional paid access period is created. GoldAutoTradePRO and/or the payment provider may make further collection attempts for the due instalment within the agreed payment schedule. Any access period already paid for remains available until it expires. Once that paid period has ended, if the next due instalment has still not been successfully paid, software and license access may be temporarily suspended until successful payment. Where the selected payment provider permits this within the agreed payment schedule, an instalment that remains outstanding after becoming due may be collected together with a later instalment once that later instalment has also become due. Instalments that are not yet due are not accelerated by this mechanism.

Such an access suspension is neither an automatic termination of the fixed-term contract nor a waiver of amounts already due. In particular, one failed instalment does not automatically make all future instalments immediately due. Further instalments become due on their contractually scheduled dates while the contract remains in force. After a successful catch-up payment, access is restored for the access period paid by that payment. Mandatory statutory rights of either party in cases of payment default, performance issues or contract termination remain unaffected.

Mandatory statutory withdrawal, termination, reduction and other consumer rights remain unaffected.

4. Delivery, download and license

After successful payment and license checks, access to the approved Customer Package is provided. A download link may be time-limited for security reasons; expiry of the download link does not itself shorten the purchased license term.

Use requires a valid activation managed by the provider and/or through NinjaTrader Vendor Licensing. The license is personal, non-transferable and limited to the contractually agreed period.

Redistribution, public availability, sublicensing, sale of copies or use by unauthorized third parties is prohibited. Mandatory statutory rights, including any mandatory software-interoperability rights, remain unaffected.

5. Technical requirements and third parties

Use generally requires a compatible NinjaTrader 8 environment, a suitable Windows computer or VPS, a stable internet connection, an appropriate market-data feed and trading access suitable for MGC. These third-party services are not included in the GoldAutoTradePRO license unless expressly stated otherwise.

Changes to NinjaTrader, broker or data-feed interfaces, exchange specifications, margin requirements, operating systems or other third-party services may require adjustments. The user is responsible for maintaining the documented technical requirements.

6. Installation, operation and user obligations

The user must follow the provided installation, configuration, rollover, security and operating instructions and protect account credentials, licensing information, API keys and other secrets against unauthorized access.

Automated trading systems require supervision. Data-feed, connection, platform, order-routing or other incidents must be handled in accordance with the control and recovery steps described in the onboarding material and operating documentation.

7. Updates and product maintenance

Technically required or functional updates may be provided during an active term. Mandatory statutory update obligations and statutory rights for digital products remain unaffected. Where an update is required for secure or contract-compliant operation, it must be installed within a reasonable period in accordance with the supplied instructions.

8. Support

Support covers installation, licensing, technical setup and intended use of GoldAutoTradePRO. It does not include individual investment advice, trading instructions or any promise of specific trading results.

9. Trading risk and no performance guarantee

Use of GoldAutoTradePRO does not remove the substantial risks of futures trading. Historical or hypothetical results do not guarantee future results. No specific return, win rate, loss limit or maximum drawdown is promised. The separate Risk Disclosure also applies.

10. Withdrawal rights

Consumers entering into distance contracts may have a statutory right of withdrawal. Details on the period, procedure, consequences and special rules for digitally supplied content are set out in the Withdrawal Information. An electronic withdrawal declaration can also be submitted through Withdraw contract.

11. End of term and termination

The contract ends automatically when the agreed fixed term expires; no cancellation is required merely to prevent renewal. The contract cancellation function is available for ordinary or extraordinary termination declarations. Mandatory statutory termination and contract-ending rights remain unaffected.

12. Defects and liability

Statutory rights apply to defects in digital products and other failures of performance. These Terms do not restrict mandatory warranty, consumer-protection or liability rights.

The risk disclosures describe market and operational risks; they do not exclude any liability that exists under mandatory law.

13. Data protection

Information on the processing of personal data is available in the Privacy Policy.

14. Governing law and final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law does not deprive them of mandatory protections applicable in their country of habitual residence.

The version documented at the time of the order applies to the relevant contract. Changes to existing contracts will be made only where legally permitted or agreed with the customer.

One of the limitations of hypothetical performance results is that they are generally prepared with the benefit of hindsight. In addition, hypothetical trading does not involve financial risk, and no hypothetical trading record can completely account for the impact of financial risk of actual trading. For example, the ability to withstand losses or to adhere to a particular trading program in spite of trading losses are material points which can also adversely affect actual trading results. There are numerous other factors related to the markets in general or to the implementation of any specific trading program which cannot be fully accounted for in the preparation of hypothetical performance results and all which can adversely affect trading results.
